IMAP Policy for Earth Solutions

Introduction: Effective immediately, Earth Solutions has adopted an Internet Minimum Advertised Price Policy (IMAP) for all distributors, dealers, and resellers (collectively, "Resellers"). This policy applies to the Earth Solutions brand products and is crucial for maintaining our brand's reputation for high-quality products. Adherence to this policy is mandatory for all Resellers.

Covered Products: The IMAP policy applies to all products under the Earth Solutions brand. Any changes to the policy or covered products will be communicated via our website and email notifications to Resellers. This policy does not apply to discontinued or close-out items or to special promotions as determined by Earth Solutions.

Policy Details:

  1. IMAP Pricing: The IMAP pricing is set at no more than a 15% discount off the current Earth Solutions Manufacturer's Suggested Retail Price (MSRP).
  2. International Pricing: For international accounts, pricing should reflect the local currency, calculated based on the US MSRP and prevailing exchange rates.
  3. Unilateral Policy: This policy is non-negotiable and unilateral. Resellers are free to set the actual resale price.
  4. Internet Advertising: Applies to all forms of online promotion and sales of Earth Solutions products.

Reseller Requirements:

  1. Third-Party Websites: Resellers not listed on our Authorized Online Reseller page are prohibited from selling Earth Solutions products on third-party websites, including but not limited to Amazon.com, Walmart.com, and eBay.
  2. Business Name Disclosure: Resellers must disclose all business and assumed names used in the marketplace for selling Earth Solutions products.

Violations:

  1. First Violation: Written notification with 10 calendar days to correct the violation. Non-compliance leads to reduced discounts and possible suspension of sales.
  2. Second Violation: Occurring within 12 months of the first, leads to further reduction in discounts and a 60-day suspension after compliance.
  3. Third Violation: Occurring within 18 months of the first, results in a 90-day suspension after compliance.
  4. Fourth Violation: Leads to indefinite suspension of sales for no less than 180 days. Reapplication to be a Reseller is required.

Termination: Repeated violations may result in termination of the Reseller's relationship with Earth Solutions.

Advertisements: The IMAP policy applies to all forms of online advertising that may indirectly discount the advertised price of a product.

Trademarks & Copyrights: Use of Earth Solutions Intellectual Property by Resellers should be in line with this policy and other guidelines provided by Earth Solutions.

This IMAP Policy is subject to change at Earth Solutions' discretion. Non-enforcement of this policy at any time does not waive our right to enforce it in the case of future violations. Resellers are expected to adhere strictly to this policy to maintain a consistent and fair marketplace for Earth Solutions products.
