Unilateral Minimum Advertised Pricing Policy & Program (UMAPPP)

Earth Solutions Products, Inc.’s Unilateral Minimum Advertised Pricing Policy and Program (UMAPPP) establishes, for all authorized Earth Solutions products resellers, a reasonable minimum retail price for Earth Solutions products. The primary purpose of this UMAPPP is to support our authorized customers and healthcare practitioners who prescribe and sell our natural health products, to protect patients by ensuring they receive the proper oversight needed to effectively use our products, and to maintain the integrity and reputation of the Earth Solutions brand.

Through the act of purchasing Earth Solutions products, authorized customers agree to the terms and conditions of this UMAPPP:

• This UMAPPP defines customers as authorized resellers of Earth Solutions products including healthcare practitioners, their staff, and affiliated or owned stores and websites.
• This UMAPPP applies unilaterally to all Earth Solutions customers and products.
• This UMAPPP places the utmost importance on the requirement to sell and advertise Earth Solutions products only at their current Suggested Retail Prices (SRPs) as seen at www.earthsolutions.com.
• This UMAPPP specifically disallows any volume discount or other promotion that would cause the unit sale price of any Earth Solutions product to be advertised or promoted at less than the Earth Solutions SRPs including external discounts such as site coupons, discounts, or special offers.
• This UMAPPP grants authorized customers full authority to sell Earth Solutions products directly to consumers, but specifically disallows authorized customers to redistribute products to other resellers, distributors or third-party sites, including Amazon.com, eBay, etc.
• This UMAPPP restricts distributor and wholesale buyers of Earth Solutions products from selling or advertising MMP products on Amazon, eBay, or any similar online marketplaces.
• This UMMAPPP requires written permission from Earth Solutions for all customers who wish to sell Earth Solutions products on the Internet.
• This UMAPPP requires all authorized resellers to maintain updated web descriptions, images, supplement facts and all other relevant product information as seen at www.earthsolutions.com.
• This UMAPPP protects the right of Earth Solutions to refuse the sale or supply of any products to any customer that is affiliated with or supplying products to a website that violates any of our policies.
• This UMAPPP commits authorized customers to compliance with this UMAPPP, with their acknowledgment that non-compliance may and will result in loss of their authorized status.
